Everyone doing business knows this scenario– you conclude a contract which obliges you to deliver or pay to our counterpart, but you want to make sure that the other party fulfills its obligation as well. You do not want to simply trust your counterpart, you want them to also commit. In international business, a number of standard securities have been developed, namely bank guarantees, corporate guarantees and letters of credit.
In Thailand, however, such tools often do not or only insufficiently provide security, or are simply not available to your counterpart. Internationally drafted bank guarantees are often invalid under Thai law, Letters of Credit are many times not available to Thai customers due to their lack of banking facilities. What options do you have to minimize your risk? What is legally possible, and what is practically doable to secure legitimate payment claims? Are there solutions beyond the international standards? What other measures can you implement to avoid payment shortfalls?
